Effective date: the date the Instructor signs this Agreement, by sending their application to teach.
Instructor: the full legal name and address the Instructor gives in that application.
Services: course development, recorded teaching, live teaching or other agreed services, as the Instructor chooses them in that application.
This Agreement is between the CTDC Consultancy Ltd, with registration number 12074787 of 1 Gough Square, London, United Kingdom, EC4A 3DE, and the instructor identified above. It sets out the terms on which the Instructor will create and/or deliver the Course through CTDC Academy.
01. Appointment and status
CTDC appoints the Instructor as an independent, self-employed consultant under a contract for services. Nothing in this Agreement creates employment, worker status, agency, partnership or joint venture. The Instructor remains responsible for how the Services are performed, subject to the agreed brief, timetable and CTDC standards; may work for other clients; has no authority to bind CTDC; and is responsible for their own tax, social security contributions, insurance and invoicing obligations.
02. Services and approval
The Instructor will provide the Services with reasonable care and skill, meet agreed deadlines, and ensure that all submitted content is accurate, lawful, original or properly licensed, and suitable for the intended learners. CTDC may review, moderate, edit, format and request reasonable revisions for quality, accessibility, safeguarding, legal, ethical and brand compliance. No content will be published until CTDC gives written approval. CTDC may suspend, reject or remove content that does not meet these requirements.
04. Intellectual property and promotion
The Instructor retains ownership of their pre-existing materials and the original Course content they create. The Instructor grants CTDC a non-exclusive, worldwide licence during this Agreement to host, reproduce, format, moderate, adapt, translate, deliver and promote that content through CTDC Academy. CTDC may use the Instructor’s name, approved biography, image and Course extracts for Course promotion. CTDC retains ownership of its platform, branding, templates and materials created independently by CTDC. The Instructor warrants that they have the rights needed for all submitted content and will identify and obtain permission for third-party materials. After termination, CTDC’s licence continues only as needed to provide access already purchased, process complaints or refunds, and retain legally required records.
05. Conduct policies and confidentiality
The Instructor will comply with CTDC’s Code of Conduct and all policies relevant to the Services that CTDC provides or makes available, including safeguarding, equality and non-discrimination, data protection, confidentiality, complaints and responsible use of technology. CTDC may update these policies on reasonable notice. The Instructor will promptly report any safeguarding, conduct, data or legal concern connected with the Course and will not use confidential information or learner personal data except as authorised for the Services. These confidentiality and data obligations continue after termination.
06. Termination
This Agreement starts on the Effective Date and continues while the Course is developed, delivered or offered for sale. Either party may terminate it on 30 days’ written notice. CTDC may suspend the Course or terminate immediately for serious misconduct, material breach, policy violation, unlawful or infringing content, or conduct that presents a safeguarding, legal or reputational risk. CTDC will pay the Instructor’s share of eligible sales made before withdrawal in the next payment cycle, subject to refunds and chargebacks.
07. General terms
This Agreement and its agreed Course brief form the entire agreement between the parties for the Services. Any change must be agreed in writing. Notices may be sent to the email addresses used by the parties for this engagement. The parties may sign electronically and in counterparts. If any provision is unenforceable, the remaining provisions continue. This Agreement is governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
